Terms of Service

1. Acceptance of Terms

By accessing or using Vortex (the "Service"), including the desktop application, mobile application, and website, you agree to be bound by these Terms of Service ("Terms"). The Service is provided by Vortex App LLC ("Vortex," "we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To use certain features of the Service, you must create an account. You can sign up using email and password, or authenticate using Discord OAuth or Google OAuth. You agree to provide accurate, current, and complete information during registration. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Description of Service

Vortex is an audio file management and distribution platform that allows you to:

  • Upload, store, and organize audio files
  • Extract and manage audio metadata (BPM, tags)
  • Distribute audio files via email, Google Drive, Dropbox, YouTube, and Instagram
  • Import and manage contacts from your phone or manually add them on desktop, then send communications via email or SMS
  • Synchronize contacts and files between desktop and mobile applications
  • Track email engagement (available on paid plans)

5. Subscription Plans and Payments

Vortex offers a paid subscription plan:

  • Omega Plan: Full access to all features including bulk messaging, email tracking, YouTube uploads, audio imports, and priority support

All subscriptions are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Subscription fees are non-refundable. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

6. No Refunds

All subscription fees are non-refundable. When you cancel a paid subscription, you will continue to have access to paid features until the end of your current billing period. No partial refunds or credits will be issued for unused portions of a subscription period.

7. User Content and Data

You retain 100% ownership of all audio files, images, and other content you upload to the Service ("User Content"). Vortex is a tool that helps you organize and distribute your content—we do not claim any ownership, rights, or interest in your User Content. By uploading User Content, you grant Vortex a limited, non-exclusive license to store, process, and transmit your content solely to provide the Service. This license exists only to enable the technical operations of the Service (such as storing files, sending emails, or uploading to YouTube on your behalf) and terminates when you delete your content or account.

When you import contacts from your phone or add them manually, you are responsible for ensuring you have the right to store and use that contact information. Contact data you import is stored on our servers to enable synchronization across your devices and to facilitate sending communications.

You represent and warrant that:

  • You own or have the necessary rights to use and distribute all User Content
  • Your User Content does not infringe any third-party intellectual property rights
  • Your User Content complies with all applicable laws
  • You have obtained all necessary permissions to share audio files with your intended recipients
  • You have the right to store and use any contact information you import or add to the Service

8. Acceptable Use

You agree not to use the Service to:

  • Upload, distribute, or share content that infringes copyrights, trademarks, or other intellectual property rights
  • Send unsolicited bulk communications (spam)
  • Distribute malware, viruses, or other harmful code
  • Impersonate any person or entity
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any illegal or unauthorized purpose

9. Third-Party Services

The Service integrates with third-party services including Gmail, Google Drive, Dropbox, YouTube, and Instagram. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. Vortex is not responsible for the availability, accuracy, or content of third-party services.

YouTube: By using Vortex's YouTube integration features, you agree to be bound by the YouTube Terms of Service.

When you connect a third-party account, you authorize Vortex to access and use your data from that service as necessary to provide the features you request. You can disconnect third-party integrations at any time through the Service settings.

10. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Vortex App LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VORTEX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORTEX APP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vortex App LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may suspend or terminate your account at any time for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time through the Service settings. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.

15. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in California.
